Article 1 — Employment, Position & Salary
1.1 Employment

Echo Yachts Limited (hereinafter referred to as the "Employer") hereby employs Tegan Christopher Essop (hereinafter referred to as the "Seafarer") as a Deckhand aboard the vessel M/Y CHARLEY (Flag: Cook Islands).

1.2 Position

The Seafarer shall perform the duties, responsibilities, and tasks associated with the position of a Deckhand. The specific duties of this role include, but are not limited to:

The Seafarer is expected to uphold the highest standards of professionalism, hygiene, conduct, and quality in line with the operation of a world-cruising private charter yacht.

1.4 Duration

This employment agreement shall commence on 30 June 2026 and shall continue for a period of 12 months, unless terminated in accordance with the provisions of this agreement or applicable law.

1.5 Compliance

Both the Employer and the Seafarer agree to adhere to the provisions set forth in the Maritime Labour Convention (MLC) 2006, as amended, as applicable to the vessel, ensuring that all rights, protections, and obligations are duly respected throughout the term of this agreement.

Article 2 — Travel, Mustering & Transfer Expenses
2.1 Travel Expenses

Echo Yachts Limited shall be responsible for the reasonable travel expenses incurred by the Seafarer for the purpose of joining and leaving the Vessel at the commencement and termination of employment under this Agreement. The travel expenses covered shall include economy class airfare, port transfers, and any other necessary travel arrangements, subject to prior approval by the Employer.

2.2 Mustering Expenses

The Employer shall bear the costs associated with any mustering processes required by maritime regulations or the operational needs of the Vessel. The Seafarer shall be provided with details regarding the schedule and locations for mustering without undue delay.

2.3 Transfer Expenses

In the event that the Seafarer is required to transfer between vessels or onboard different operational areas during the duration of this Agreement, the Employer shall cover all reasonable transfer expenses. This includes but is not limited to transportation costs incurred for transfers to operational locations as directed by the Employer.

2.4 Reimbursement

Should the Seafarer incur any travel, mustering, or transfer expenses in advance of the agreed provisions, they may submit a request for reimbursement to Echo Yachts Limited. Reimbursements shall be processed in a timely manner and in accordance with the financial policies of Echo Yachts Limited.

2.5 Documentation

The Seafarer shall provide the necessary receipts or documentation to substantiate any claimed travel expenses. Claims not supported by appropriate documentation may be refused at the discretion of the Employer.

2.6 Compliance

All travel, mustering, and transfer arrangements shall be conducted in full compliance with the applicable laws and regulations governing maritime operations, including but not limited to the Maritime Labour Convention (MLC) 2006 standards.

2.7 General Provisions

The provisions under this Article are subject to review and may be amended in writing as agreed upon by both parties.

Article 3 — Wages, Allotments & Leave Pay
3.1 Wages

The Seafarer, identified as Tegan Christopher Essop, shall be compensated at the rate of REDACTED per month during the probationary period of 3 months starting from the Start Date of 30 June 2026. Upon successful completion of the probationary period, the Seafarer shall receive a monthly salary of REDACTED.

3.2 Payment Schedule

Salary payments shall be made monthly in arrears, and shall be payable in the currency of USD. Payments will be made directly into the bank account as specified by the Seafarer. All payments are subject to applicable deductions for taxes and social security contributions in accordance with the law and jurisdiction governing this Agreement.

3.3 Allotments

The Seafarer may request for allotments to be forwarded to designated beneficiaries. Such requests should be communicated in writing to the Employer, specifying the amount and the designated beneficiary's details. The Employer will facilitate these allotments to the best of their ability, provided they do not contravene any applicable regulations or legal obligations.

3.4 Leave Pay

The Seafarer shall be entitled to paid leave under the terms of this Agreement, calculated on a pro-rata basis, based on the length of service in accordance with the rotation schedule of 5:1 Paid Leave. Leave shall be accrued in compliance with MLC standards, with the total leave entitlement to be taken within the contract year or as otherwise mutually agreed upon by the Employer and the Seafarer.

3.5 Compliance

The Employer affirms that the salary and leave entitlements accord with the provisions stipulated by the Maritime Labour Convention (MLC) 2006, as amended, and each party agrees to uphold these rights as mandatory protections for the Seafarer on board the Vessel.

3.6 Revision of Terms

Any revision to the Seafarer's wages or pay conditions shall be subject to written agreement by both the Employer and the Seafarer. Any changes made should be documented and signed by both parties.

3.7 Governing Jurisdiction

All matters related to wages, allotments, and leave pay under this Agreement shall be governed by the laws of Singapore.

Article 4 — Duration, Probation & Termination
4.1 Duration

This Seafarer's Employment Agreement shall commence on 30 June 2026 and shall continue in force for a period of 12 months, unless terminated earlier in accordance with the provisions of this Article.

4.2 Probation

The first 3 months of employment shall constitute a probationary period, during which the performance and conduct of the Deckhand shall be evaluated. During this probationary period, the Seafarer shall receive a salary of REDACTED.

4.3 Termination During Probation

Either party may terminate this agreement during the probationary period by providing written notice of 7 days to the other party without the need to provide justification. Upon termination during the probationary period, all obligations under this agreement shall cease.

4.4 Termination Post-Probation

Upon successful completion of the probationary period, this agreement shall automatically continue, and the salary shall adjust to REDACTED. Following the probationary period, either party may terminate this agreement by providing 30 days written notice to the other party.

4.5 Responsibilities upon Termination

In the event of termination of this agreement, the Deckhand shall promptly return any property of Echo Yachts Limited in their possession and shall settle any outstanding matters before departure from the vessel.

4.6 Termination for Cause

In addition to the rights of termination set forth above, Echo Yachts Limited reserves the right to terminate this agreement immediately for cause, including but not limited to, breach of contract, gross misconduct, or any act that jeopardizes the safety and efficiency of the vessel, her crew, or her guests.

4.7 Final Settlement

Upon termination of this agreement for any reason, the Deckhand shall receive all accrued wages and entitlements up to the date of termination, subject to the completion of any required formalities by the employer. All final payments shall be settled in accordance with applicable laws and standard practice within the maritime industry.

Article 5 — Hours of Work, Rest & Holidays
5.1 Hours of Work

The Seafarer shall be required to perform duties and responsibilities as a Deckhand onboard the Vessel in accordance with the operational requirements of the Employer. The standard working hours shall not exceed 12 hours of work per day. The Seafarer acknowledges that due to the nature of the role, hours may vary based on the operational schedule and the needs of guests aboard the Vessel.

5.2 Hours of Rest

The Seafarer is entitled to a minimum of 10 hours of rest in any 24-hour period, and a minimum of 77 hours of rest in any 7-day period. The Employer shall ensure that the Seafarer is provided sufficient rest periods while maintaining the operational efficiency of the Vessel. All efforts will be made to comply with the Maritime Labour Convention (MLC) regulations concerning hours of rest.

5.3 Holidays

The Seafarer shall be entitled to vacation leave of 30 calendar days per year (or according to the 5:1 Paid Leave schedule), which will be accrued on a pro-rata basis, and taken as per the operational requirements of the Vessel and in agreement with the Employer. Unused vacation days may be carried over one year but shall not exceed 60 calendar days unless otherwise agreed in writing.

5.4 Public Holidays

The Seafarer shall be entitled to public holidays recognized in Singapore. If the Seafarer is required to work on such holidays, the Employer shall compensate the Seafarer at a rate of 1.5 times the regular salary for hours worked, subject to agreement with the Employer before the commencement of work.

5.5 Record of Hours

The Employer shall maintain accurate records of the Seafarer's hours of work and rest to ensure compliance with MLC and maritime standards. The Seafarer shall be entitled to request access to these records upon reasonable notice.

5.6 Compliance with Regulations

The Employer undertakes to adhere strictly to all relevant local and international regulations pertaining to working hours, rest periods, and holidays to ensure the well-being and safety of the Seafarer during their service onboard the Vessel.

5.7 Amendments

Any changes to the working hour arrangements must be mutually agreed upon by both the Employer and the Seafarer, and such amendments shall be documented in writing, ensuring compliance with the MLC and applicable maritime employment laws.

Article 6 — Sickness, Injury & Medical Care
6.1 Duty to Provide Medical Care

Echo Yachts Limited shall provide adequate medical care on board the M/Y CHARLEY and shall ensure that the Seafarer, occupying the position of Deckhand, is provided with necessary medical attention in the event of sickness or injury while in the service of the vessel.

6.2 Medical Facilities

The vessel shall be equipped with medical facilities and first aid supplies that comply with the regulations and requirements of the Maritime Labour Convention (MLC) 2006. The Seafarer acknowledges the necessity to familiarize themselves with these facilities and to utilize them as required.

6.3 Reporting of Illness or Injury

The Seafarer is obligated to promptly report any sickness or injury to the Master or designated officer. Failure to report may result in the termination of this Seafarer's Employment Agreement due to negligence.

6.4 Medical Consultation and Evacuation

In the event that medical attention beyond the provided facilities is required, Echo Yachts Limited shall arrange for medical consultation and, if necessary, evacuation to the nearest appropriate medical facility. The Seafarer shall be responsible for any personal medical expenses incurred outside coverage provided.

6.5 Sick Leave and Pay

In the event of sickness or injury, the Seafarer is entitled to sick leave in accordance with the statutory provisions applicable under the jurisdiction of Singapore. The Seafarer will receive their salary during a period of absence from work due to medically certified illness for up to 30 days. Beyond this period, additional terms will be subject to the discretion of Echo Yachts Limited.

6.6 Accidents and Reporting Procedures

All accidents that occur on board the M/Y CHARLEY shall be recorded in the vessel's accident log, and the Seafarer is required to follow the established reporting procedures. This includes a full written report submitted to the Master within 24 hours of the occurrence.

6.7 Continuity of Employment

In the event of an extended period of incapacity due to long-term illness or injury which exceeds the provisions of sick leave, the Seafarer's employment may be subject to review and could potentially lead to termination, provided that necessary documentation and medical evidence have been presented by the Seafarer.

6.8 Right to Review Medical Condition

Echo Yachts Limited reserves the right to require the Seafarer to undergo medical examinations by a qualified physician chosen by the Employer at any time during the contract period, especially if the Seafarer's fitness to perform duties is in question.

6.9 Compliance with Regulations

This Article is governed by the legal and regulatory frameworks governing maritime employment and health standards as stipulated under the Maritime Labour Convention (MLC) 2006, as applicable to vessels of 702 GT or greater.

Article 7 — Death, Disability & Insurance Cover
7.1 Coverage for Death and Disability

In the unfortunate event of death or permanent disability of the Seafarer, Echo Yachts Limited shall ensure that the Seafarer or the Seafarer's designated beneficiaries receive compensation in accordance with applicable laws and regulations governing seafarers' rights in Singapore. The amount of compensation shall be determined according to the standards set forth by the Maritime Labour Convention, 2006 as amended.

7.2 Insurance Provision

Echo Yachts Limited shall provide suitable insurance coverage for the Seafarer against the risks of death, total and permanent disability, and other similar contingencies. The insurance shall be arranged through a reputable insurance provider and shall be sufficient to cover any liability as required by the MLC 2006 guidelines.

7.3 Notification of Claims

The Seafarer or the Seafarer's designated beneficiaries shall immediately notify Echo Yachts Limited of any incident that may give rise to a claim under this article. Such notification shall include all relevant information and documentation required to process the claim. Echo Yachts Limited shall take all necessary steps to handle these claims promptly and efficiently.

7.4 Limitation of Liability

Nothing in this Article shall be construed as limiting the liability of Echo Yachts Limited beyond the extent prescribed by law. Any compensation or insurance benefits provided under this Article shall be in addition to any other statutory benefits that may be applicable to the Seafarer.

7.5 Compliance with Laws

The obligations of Echo Yachts Limited under this Article shall be governed by the applicable laws and regulations in Singapore and the provisions of the MLC 2006. Echo Yachts Limited undertakes to ensure that all necessary legal protections and standards pertaining to death, disability, and insurance for seafarers are duly complied with.

7.6 Right to Review

The Seafarer may request a review of the insurance and compensation provisions stated in this Article at any time, and Echo Yachts Limited shall consider such requests in good faith, with a view to reinforcing the protections afforded to the Seafarer in the unfortunate event of death or disability.

7.7 Effects of Termination

Upon termination of this Agreement, any entitlements covered under this Article shall remain valid until all claims are resolved, regardless of the status of the employment relationship between the Seafarer and Echo Yachts Limited.

Article 8 — Shipboard Discipline & Obligations
8.1 General Conduct

The Seafarer shall maintain the highest standards of professionalism and conduct while aboard the Vessel. The Seafarer is expected to foster a positive work environment conducive to efficient operations and mutual respect among all crew members.

8.2 Duties and Responsibilities

As a Deckhand, the Seafarer shall be responsible for a variety of duties vital to the safe and efficient operation of the Vessel. The Seafarer must execute the duties specific to their role as defined in Article 1, as well as participating in regular safety and emergency drills as required by the Master and safety management system.

8.3 Compliance with Orders

The Seafarer shall adhere to all lawful orders and directives issued by the Master and senior officers. The Seafarer must exhibit the utmost respect for the command hierarchy aboard the Vessel and comply with all established procedures and safety protocols.

8.4 Professional Appearance

The Seafarer is obliged to present a professional appearance that aligns with the high standards expected on a Private Charter Yacht. This includes maintaining proper personal grooming, adhering to the uniform code, and exhibiting a courteous demeanor when interacting with guests and crew members.

8.5 Alcohol and Substance Policy

The Seafarer shall refrain from the consumption of alcohol and illegal substances while on duty or during working hours. A strict zero-tolerance policy applies, and any violation may result in disciplinary action up to and including termination.

8.6 Reporting and Communication

The Seafarer is required to promptly report any incidents, accidents, or equipment malfunctions to the appropriate officer for immediate attention. Effective communication is essential for the safety and operational efficiency of the Vessel.

8.7 Disciplinary Action

Failure to comply with the obligations set out in this Article may result in disciplinary action. Such action may range from verbal warnings to dismissal, depending on the severity of the violation and in accordance with the applicable laws and regulations governing employment at sea.

8.8 Jurisdiction

This Article and the obligations contained herein are governed by the laws of Singapore. Any disputes arising in relation to shipboard discipline and obligations shall be subject to the jurisdiction of the competent courts in Singapore.

8.9 Confirmation of Understanding

The Seafarer acknowledges understanding and acceptance of the aforementioned duties, responsibilities, and obligations, committing to uphold the standards and practices essential for the successful operation of the Vessel.

Article 9 — Uniforms & Personal Effects
9.1 Provision of Uniforms

Echo Yachts Limited shall provide the Deckhand with uniforms that are appropriate for the role and reflective of the standards of operation aboard the M/Y CHARLEY. The uniforms will consist of several pieces designed for both functional use and presentation during all charter and operational activities.

9.2 Maintenance of Uniforms

The Deckhand is responsible for the proper care and maintenance of all uniforms issued by Echo Yachts Limited. This includes regular cleaning, appropriate storage, and any required repairs. Should the Deckhand fail to maintain the provided uniforms to a satisfactory standard, Echo Yachts Limited reserves the right to charge the Deckhand for replacement or repair costs incurred.

9.3 Personal Effects

The Deckhand is permitted to bring personal effects onboard the M/Y CHARLEY, provided such items do not pose a risk to safety or security and comply with the vessel's policies. Echo Yachts Limited shall not be liable for any loss or damage to personal effects brought onboard the vessel, and it is recommended that the Deckhand insure any high-value personal items.

9.4 Security of Personal Effects

The Deckhand is responsible for the security of their own personal belongings while aboard. The Deckhand must store all personal effects in designated personal storage areas that will be detailed in a crew briefing upon commencement of employment.

9.5 Return of Company Property

Upon termination of employment, whether at the end of the contract, upon resignation, or for any other reason, the Deckhand must return all uniforms and any other property belonging to Echo Yachts Limited. Failure to return such property may result in deductions from final remuneration, as deemed appropriate.

Article 10 — Duty of Confidentiality & Media
10.1 Confidentiality Obligation

The Seafarer, Tegan Christopher Essop, acknowledges that during the course of engagement with Echo Yachts Limited aboard the M/Y CHARLEY, the Seafarer will have access to confidential and proprietary information relating to the operations, management, and activities of the vessel. The Seafarer agrees to maintain strict confidentiality regarding all such information, both during and after the Term of this Agreement, including but not limited to any financial, operational, or personal information pertaining to the crew, guests and the management of the vessel.

10.2 Media and Public Disclosure

The Seafarer shall not make any media-related appearances or public statements regarding the M/Y CHARLEY or Echo Yachts Limited without prior written consent from the Employer. This includes, but is not limited to, sharing information or images via social media platforms and engaging in interviews or discussions pertaining to maritime operations or specific events related to the vessel.

10.3 Consequences of Breach

Any breach of the obligations contained in this Article by the Seafarer may result in disciplinary proceedings, up to and including termination of this Agreement, as well as potential legal action to recover damages caused by such breach. The Seafarer acknowledges that unauthorized disclosure of confidential information may cause irreparable harm to the Employer, and that remedies at law may be inadequate to protect the Employer's interests.

10.4 Duration of Obligation

The obligations of confidentiality shall extend indefinitely, surviving the termination or completion of this Agreement, unless the information becomes publicly available through no fault of the Seafarer or is required to be disclosed by law or regulation.

10.5 Acknowledgment

The Seafarer hereby acknowledges and agrees to the terms and conditions set forth in this Article, understanding the importance of maintaining confidentiality and the reputational impact on Echo Yachts Limited and the M/Y CHARLEY.

Article 11 — War Zone Service & Security
11.1 Definition of War Zone

For the purpose of this Agreement, a "War Zone" shall be defined as any area where there is active military conflict, civil unrest, or the presence of military forces which may pose a threat to the safety of individuals, including, but not limited to, regions under martial law, areas identified by government advisories as unsafe for travel, or zones where the risk of piracy is significantly elevated.

11.2 Employer's Obligation

Echo Yachts Limited is committed to providing a safe working environment for all employees, including Tegan Christopher Essop. In the event that the Vessel is directed to operate within a War Zone, the Employer shall assess the risks and provide appropriate instructions regarding the conditions and measures taken for the safety and security of the crew.

11.3 Seafarer's Rights

Tegan Christopher Essop reserves the right to refuse to work in any area classified as a War Zone if proper risk mitigation measures are not implemented or if the conditions are deemed unsafe. In such case, the Seafarer shall notify the Employer immediately in writing of their concerns regarding safety and may seek alternative arrangements.

11.4 Indemnification

The Employer shall indemnify and hold harmless Tegan Christopher Essop from any claim, loss, damage, or liability arising from operation in a War Zone, provided that the Seafarer has acted responsibly and in accordance with the terms set forth in this Agreement regarding safety concerns.

11.5 Insurance and Compensation

In situations where the Seafarer is required to work in a War Zone, the Employer agrees to provide enhanced insurance coverage specific to war-related risks prior to the deployment. Compensation for service rendered in a designated War Zone shall be commensurate with the heightened risks involved and shall be agreed upon in writing prior to service commencement.

11.6 Termination of Agreement

Should the Seafarer refuse to work in a War Zone pursuant to their rights under this Article, the Employer shall not terminate this Agreement or penalize the Seafarer for such refusal, provided that the refusal is grounded in genuine safety concerns as outlined above.

Article 12 — Jurisdiction & Law
12.1 Governing Law

This Seafarer's Employment Agreement shall be governed by and construed in accordance with the laws of Singapore. Any disputes that arise concerning this Agreement shall be subject to the laws in force at the time of such disputes, and both parties agree to submit to the jurisdiction of the courts of Singapore.

12.2 Jurisdiction

The parties hereby irrevocably submit to the exclusive jurisdiction of the relevant Courts within Singapore for the resolution of any disputes or claims arising out of or in connection with this Agreement. Notwithstanding this submission to jurisdiction, nothing shall prevent either party from seeking provisional remedies in any jurisdiction to protect their rights in connection with this Agreement.

12.3 Legal Venue

All proceedings in connection with this Agreement shall be conducted in English. The parties agree that the proper venue for bringing any such proceedings shall be the courts of Singapore, notwithstanding any applicable law to the contrary.

12.4 Severability

If any provision of this Article is held to be invalid or unenforceable, such provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions of this Agreement shall continue in full force and effect.

12.5 Entire Agreement

This Article constitutes the entire understanding between the parties concerning its subject matter and supersedes all prior agreements, understanding, or representations, whether written or oral, pertaining to such subject matter.

Article 13 — Final Provisions
13.1 Governing Law

This Seafarer's Employment Agreement shall be governed by and construed in accordance with the laws of Singapore. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Singapore.

13.2 Entire Agreement

This Agreement constitutes the entire understanding between the parties and supersedes any prior agreements, whether written or oral, relating to the subject matter herein. Any amendments or modifications to this Agreement must be in writing and signed by both parties.

13.3 Severability

If any provision of this Agreement is found to be invalid or unenforceable, such provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall remain in full force and effect and enforceable.

13.4 Waiver

No waiver of any breach of any provision of this Agreement shall be deemed a waiver of any subsequent breach of the same or any other provision. The failure of either party to enforce any right or provision shall not constitute a waiver of such right or provision.

13.5 Notices

Any notices required or permitted under this Agreement shall be in writing and shall be deemed to have been duly given when delivered in person or sent by registered mail or electronic mail to the addresses stated herein or to such other addresses as may be designated by the parties in writing.

13.6 Signature

This Agreement shall become effective upon the date of execution and shall be signed by the parties onboard the Vessel. The undersigned hereby acknowledge that they have read, understand, and agree to the terms set forth in this Seafarer's Employment Agreement.

The Seafarer is entitled to retain a signed original copy of this Agreement at all times during the period of employment, as required under MLC 2006, Regulation 2.1, Standard A2.1, paragraph 1(b).
